By accessing or using DigitalAgentOS ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

These terms apply to all users of the Service, including workspace owners, administrators, and members.

DigitalAgentOS is a team management and workforce operations platform that provides tools for work management, leave tracking, payroll, team messaging, daily standups, hiring, and related functionality.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

To use the Service, you must register for an account and create a workspace. You agree to provide accurate, current, and complete information during registration and to update this information as necessary.

You are responsible for safeguarding your account credentials. You agree to notify us immediately at support@digitalagentos.com if you believe your account has been compromised.

You are responsible for all activity that occurs under your account. Each workspace owner is responsible for managing access permissions for their team members.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to any part of the Service or other users' accounts
• Use the Service to send unsolicited communications (spam)
• Scrape, crawl, or extract data from the Service without our written consent
• Impersonate any person or entity

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of all data you input into the Service. By using the Service, you grant DigitalAgentOS a limited licence to store, process, and display your data solely for the purpose of providing the Service.

We do not sell your personal data to third parties. We process your data in accordance with our Privacy Policy and applicable data protection laws.

Certain features of the Service require a paid subscription. Subscription fees are charged in advance on a monthly or annual basis, depending on the plan you select.

All fees are non-refundable except as required by law or at our sole discretion. We reserve the right to modify pricing with at least 30 days' notice to existing subscribers.

If payment fails, we may suspend access to paid features until payment is resolved. Your data will be retained for a reasonable period following account suspension to allow you to resolve billing issues.

The Service, including its design, code, features, and branding, is the intellectual property of DigitalAgentOS. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our express written permission.

You may cancel your account at any time from your workspace settings. We may suspend or terminate your access if you violate these Terms or engage in conduct we determine is harmful to other users or the Service.

Upon termination, your right to access the Service ceases. You may export your data before termination. We will retain your data for 30 days following termination before deletion.

To the maximum extent permitted by law, DigitalAgentOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the Service at least 14 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
